Monadd, a management service for bills linked to the home, was incorporated and bootstrapped in the UK and had raised an SEIS angel round and SAFEs from U.S. investors. To attract further U.S. institutional capital and complete a US flip into a C‑Corp while preserving UK S/EIS benefits for existing investors, Monadd engaged SeedLegals to manage the re‑incorporation process.

SeedLegals guided the US flip and C‑Corp conversion, coordinating with US and UK lawyers and tax accountants to ensure UK investors could still claim S/EIS benefits and structuring the SAFEs for U.S. fundraising. As a result, Monadd successfully onboarded institutional investors, secured further U.S. investment without hesitation, and retained a UK subsidiary to continue UK and European commercial development.
