A national quick-service restaurant chain with about 6,000 employees across 120 locations in 16 states planned an internal realignment to consolidate two predecessor corporate entities into a single West entity effective July 1. Because the entities were related, the transaction triggered SUTA Dumping Prevention Act notification rules and exposed the company to compliance, tax-rate and financial risks — including potential reassessment of unemployment tax rates and the inability to carry over annual taxable wage bases — so the chain sought to quantify the timing and dollar impact of the change.
Equifax Workforce Solutions worked with the client to develop a detailed work plan, analyze legal-entity and timing alternatives, prepare and monitor state filings to secure transfers of experience, and recover duplicated taxes by filing amended returns. Equifax identified recoverable overpaid employment taxes (approximately $691,875 in the simplified analysis), handled registrations, protests and compliance filings, and ensured statutory requirements were met so the client could focus on operating its restaurants while planning similar future realignments.
