EY Executes More Objective Technology Due Diligence for M&A using CAST Highlight

EY, a global leader in assurance, tax, transaction and advisory services with over 280,000 people worldwide, was engaged by a private equity firm to perform technology due diligence on a software company. Faced with slow, manual code reviews that could be inaccurate, EY needed a faster, more objective way to assess the quality, risk and cloud readiness of the target’s software portfolio.

EY used CAST Highlight to analyze 2,600 files (over 1.2M lines of code) and combine source-code metrics with qualitative surveys, delivering results in under a week. CAST Highlight surfaced key metrics (Resiliency, Agility, Elegance, Cloud Readiness) and SCA findings, uncovering eight GPL-licensed components (replacement cost ~$70K) and three business-critical apps with low resiliency (refactor estimate ~$465K). These insights enabled a more accurate valuation and a lower-risk investment decision for the PE firm.
